Faegre Drinker Advises Pentair in $1.4 Billion Acquisition of Taco Group Holdings

Faegre Drinker served as legal counsel to Pentair plc (NYSE: PNR) in its entry into a definitive agreement to acquire Taco Group Holdings, a leading provider of hydronic and water-based solutions, for approximately $1.4 billion subject to customary adjustments.

The acquisition would enhance Pentair’s exposure to high-growth end-markets across mission-critical applications, including HVAC, data centers and related infrastructure buildout. The addition of Taco will provide Pentair with a more comprehensive suite of solutions and enhanced development capabilities to benefit Pentair’s customers across commercial, industrial, and residential applications. The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions and regulatory approvals.

The deal team was led by corporate partners Kate Sherburne and Eli Isaacs and corporate associates Cara Ralston, Molly Madden, Austin Lommen, and Gabriel Richardson. The deal team also included partners Lisa Pugh, Doriann Cain, Tom Duncan, Anthony Finnell, Page Fleeger, Nicolas Guzman, Craig Komanecki, Cynthia Lee, Nicole Leimer, Matt Levy, Joanne Lewers, Peter Magnuson, George Martin, Mike Pompeo, Molly Sitkowski, Beata Spuhler, Nicole Truso, counsel Jeff Beck, and associates Eric Cole, Jonathon Gunn, Kristin Halsing, Hudson Peters, Grace Rybak, Mary Grace Smith, Ian Thresher, Kat Vu and Isabel Wallace.
