Overview

Stacey Smiricky is a dedicated employment counselor who partners with employers on workplace compliance, investigations, and employment issues arising in complex business transactions. Stacey works closely with general counsel, HR leaders, and deal teams as an embedded advisor on workplace compliance and employment issues tied to business strategy. She advises companies, private equity sponsors, and leadership teams on managing workforce risk, conducting sensitive internal investigations, and navigating the employment and compliance challenges that accompany mergers, acquisitions, and organizational change. When disputes arise, Stacey brings extensive litigation experience to resolve matters efficiently and strategically. She also focuses on employment and joint employment issues affecting franchise operations.

Employment Regulatory and Transactional Counsel

To manage their litigation risk and help them operate smoothly, Stacey advises employers on best practices and policies, and trains and advises management and HR professionals. She assists with:

  • Hiring, discipline, and termination procedures
  • Preparation of employment documents, including policies and procedures, handbooks, contracts, noncompete agreements, and confidentiality agreements
  • Conducting employment and compliance diligence for buyers and sellers
  • Identifying workforce risk, restrictive covenant exposure, wage/hour issues, and classification concerns
  • Counseling on post-closing integration, policy harmonization, and workforce restructuring
  • Training leadership and HR on legally defensible practices
  • Guiding employers through workforce reductions, performance management, and sensitive employee relations issues
  • Analysis of employment issues pertaining to franchise operations

Workplace and Executive Investigations

  • Conducting independent investigations involving employee dishonesty, harassment, discrimination, improper use of company property, and misappropriation of confidential information
  • Advising boards, leadership, and HR on investigation strategy and risk mitigation
  • Preparing investigation reports and guiding corrective action and compliance improvements
  • Supporting organizations through high-sensitivity internal issues with discretion and defensibility

Employment Litigation

Stacey has more than 20 years' experience defending employers at state and federal agencies and courts in disputes involving:

  • Discrimination, sexual harassment, wrongful discharge, and equal pay
  • Whistleblowing and retaliation
  • The Family and Medical Leave Act
  • Restrictive covenants and confidential information
  • Trade secret misappropriation
  • Wage and hour disputes

Commercial Litigation

Stacey also has handled cases concerning breaches of contract or fiduciary duty, tortious interference, the Uniform Commercial Code, the Fair Credit Reporting Act, insurance recovery, and contract disputes.
