John D'Andrea is responsible for lateral partner growth across the firm. John is an experienced, highly regarded legal practitioner who represents many of the largest health care institutions in the country in a broad range of transactional and regulatory matters. He works with clients to structure mergers and acquisitions, partnerships and joint ventures, and has extensive experience in provider alignment, including physician recruitment and engagement, and managed care contracting transactions. In particular, John is an authority on physician practice-alignment transactions. In all areas of his practice, John brings an understanding of the underlying business dynamics and drivers, and of clients’ businesses, positioning him to effectively assist them in executing strategic transactions that advance their clinical, business and other goals.
Hospitals and Health Systems
Tax-exempt and for-profit health systems and hospitals around the country value John for his trusted counsel on growth strategies and initiatives, strategic transactions, joint ventures, physician relationships and contracting matters. He often serves as outside counsel on high-stakes transactional and regulatory matters.
Physicians and Physician Groups
John brings more than 25 years of experience to his work on behalf of independent physicians and groups. This work includes structuring relationships with hospitals and health systems, for-profit management companies and related investors or joint venture partners, and assisting independent physicians and groups on governance or compliance and regulatory matters. Physician clients look to John to help them achieve their business objectives in the highly competitive and regulated healthcare environment.
Health Care Investors
John regularly works with health care businesses, private equity firms, corporate venture funds and other investors and lenders in the health care and life sciences space on:
- Mergers and acquisitions
- Private equity and venture capital investment
- Joint ventures and other strategic transactions
- Divestitures and general business counseling
He regularly counsels clients on regulatory matters, including conducting Stark Law and Anti-Kickback Statute analyses, establishing compliance programs and conducting and supervising regulatory compliance audits and reviews.
John truly enjoys his practice. When not working, John spends time with his family, and enjoys playing golf, learning to play the guitar, and exploring Philadelphia’s many cultural, historical and social venues and events.
