Overview

Andrew Van Houter is a leading trial attorney with distinguished experience in securities litigation, corporate governance, M&A litigation, and financial services disputes. He represents a range of clients — including investment funds, financial institutions, and public companies — in high-stakes securities actions, shareholder and partnership disputes, M&A challenges, and complex commercial litigation. Andy has first-chaired valuation and stock-option trials, served on trial teams for major partnership and shareholder disputes, mass arbitrations, and FINRA proceedings, and has argued before appellate courts. He is frequently called upon to litigate corporate, securities, and governance matters in New York’s state and federal courts, as well as the Delaware Court of Chancery.

Andy has served on the New York City Bar Association’s Securities Litigation Committee and regularly represents investment funds seeking recovery on defaulted notes, distressed assets, and other investments. His practice includes advising clients on securities fraud claims, shareholder derivative actions, M&A-related litigation, proxy contests, breach of fiduciary duty claims, complex investment structures, and regulatory investigations.

  • Represented investment funds in dispute with the Republic of Kazakhstan over a $500 million arbitration award

  • Represented a Fortune 100 company engaged in partnership valuation litigation in the Delaware Court of Chancery

  • Represented a national food manufacturing company in business valuation trial in New York Supreme Court

Prior Experience

Prior to joining the firm, Andy was an associate at a New York-based firm where he represented global financial institutions and corporations in multiple types of litigation, including antitrust and commodity manipulation class-action claims, federal and state securities claims relating to mortgage-backed securities and “naked” short sales, shareholder derivative actions, and claims against financial institutions brought under the Anti-Terrorism Act related to alleged money laundering.

Andy graduated salutatorian of Seton Hall University School of Law, where he won best brief in the school’s moot court program, the BMI National Moot Court Competition, the Raymond Del Tufo, Jr. Constitutional Law Award, and was recognized for his outstanding contribution to the Center for Social Justice’s Impact Litigation Clinic.
