Overview
Gloria Liu is an experienced securities attorney specializing in investment management law. She provides legal counsel to investment advisers; investment companies including mutual funds, exchange-traded funds (ETFs), and closed-end funds; and boards of directors on matters arising under the federal securities laws, with a particular focus on the Investment Company Act of 1940.
Gloria has a proven track record advising clients on fund formation, ongoing fund operations, regulatory compliance, and SEC filings for both open-end and closed-end funds. Her experience includes preparing SEC filings, coordinating matters for board meetings, overseeing initial public offerings (IPOs) and secondary offerings for listed closed-end funds, and obtaining SEC exemptive relief. She is also highly skilled in specific matters such as fund mergers and acquisitions, proxy statements, and strategic guidance for registered investment companies.
Gloria Liu is recognized for her extensive proficiency in the closed-end fund space, including tender offer and interval funds, and for providing general counsel to independent directors and trustees.
Before law school, Gloria worked as a corporate accountant for a Pennsylvania-based registered investment adviser, giving her unique insight into investment industry operations and compliance.
