Overview
Vanessa Tabler is a recognized deal lawyer who advises international and domestic companies, private equity funds and their portfolio companies in domestic and cross-border mergers and acquisitions ranging from $50 million to over $1 billion, often drawing on her business and accounting background to inform her approach. She also advises companies on venture capital and minority investment transactions, joint ventures, and other strategic transactions. Her work spans diverse industries including life sciences, health care, energy, government contracting, technology and consumer products.
Corporate Law and General Counsel Services
In addition to her corporate transactional work, Vanessa is valued for her counsel on corporate governance matters, complex internal reorganizations and a variety of other general corporate matters. She also advises clients regarding the Corporate Transparency Act, a newer federal law that requires certain entities to report their beneficial owners to the U.S. Treasury Department.
Vanessa’s practice also includes advising clients on various commercial arrangements. She has significant experience in drafting and negotiating a broad variety of complex commercial contracts.
Service to Clients and the Legal Profession
Known for her collaborative attitude, Vanessa works seamlessly with clients, operating as an extension of their in-house teams. She emphasizes excellent client service, priding herself on being responsive, thoughtful and easy to work with. As a trusted advisor to many clients, Vanessa is usually the first point of contact for any matters affecting a client’s business, and through her many relationships throughout the firm and beyond, Vanessa connects her clients and contacts with the right resource.
Firm Leadership
Drawing on her experience representing health and life sciences organizations on transactional matters, Vanessa is the co-leader of the Transactional Segment of the firm’s health and life sciences industry group.
She is the leader of the firm’s Corporate Transparency Act team, a cross-practice group that advises clients on matters related to the Corporate Transparency Act.
Vanessa is the co-leader for the firm’s Diversity Collective for the Philadelphia office and the partner liaison for the firm’s Black Associates’ Group, which she helped establish as an associate.
As an active participant in the recruitment efforts of the firm, Vanessa is a member of the Philadelphia office’s Hiring Committee.

- Advised Boston Scientific on its $1.2 billion acquisition of Preventice Solutions, a medical solutions company specializing in cardiac devices.
- Advised Boston Scientific on its $400 million acquisition of Devoro Medical Inc., a medical solutions company specializing in thrombectomy devices.
- Advised Mission Health, a multibillion-dollar nonprofit health care system, on its $1.5 billion sale to HCA HealthCare.
- Advised a multibillion-dollar nonprofit health care system on its acquisition of a for-profit health care system.
- Advised a private equity fund on its investment in a cognitive-based therapy treatment center.
- Advised a global provider of inspection, testing, and certification services for materials and products in its acquisition of a company specializing in chemistry, biology, and formulation services.
- Advised an academic medical center in its joint venture with a national dialysis company.
- Advised Merck Animal Health, a division of Merck & Co., Inc., on its acquisition of Vence Corp., a virtual fence company.
- Advised Lone Star Urgent Care, a pediatric urgent care company and private equity fund portfolio company, on the sale of its equity.
- Advised Comcast on its acquisition of XUMO, an internet television and streaming company.
- Advised a pharmaceutical digital marketing company on its $100 million sale transaction.
- Advised Kinvolved, a K-12 communications, attendance and engagement software company, on its sale to Powerschool, a provider of cloud-based education tools.
Personal Interests
In her free time, Vanessa enjoys spending time with her son and engaging with new people. She enjoys beach vacations and finds inspiration in reading (or listening to) self-improvement books. She spends significant time each year mentoring young lawyers and professionals.
