Faegre Drinker Serves as Counsel to Mama’s Creations in Crown I Enterprises Acquisition and Related Financing

A cross-office, cross-team group of Faegre Drinker professionals successfully led Mama’s Creations through an its acquisition of Crown I Enterprises, as well as an equity and debt financing. Mama’s Creations is a leading national marketer and manufacturer of fresh deli prepared foods.

Led by corporate partner Matt Kuhn, Faegre Drinker served as legal counsel to Mama’s Creations in its acquisition of Crown I Enterprise, a full-service manufacturer of value-added proteins and ready-to-eat meals and wholly owned subsidiary of Sysco Corporation. Crown will bring approximately $56 million in profitable annual revenue to Mama’s Creations, increasing the company’s sales base by nearly 40% and significantly broadening its customer reach into strategic new accounts. The acquisition also adds new strategic capabilities such as a recently upgraded and expanded 42,000-square-foot USDA-certified production facility in Bay Shore, NY along with approximately 200 employees, which will expand Mama’s Creations’ production capacity and create enhanced ‘bench strength’ for management. In connection with its acquisition of fresh protein manufacturer Crown I Enterprises from Sysco Corporation, Mama’s Creations issued approximately $20.0 million of common stock in a private placement, with Lake Street Capital Markets, LLC serving as placement agent. The offering closed successfully on September 3, 2025. The offering was led by corporate partners Jonathan Zimmerman, Griffin Foster and Joshua Colburn and associates Christina Lidondici and Mrunal Vansadia. 

In addition, corporate partner Nicole Leimer and associate Yona Isaacs served as lead counsel as Mama’s Creations amended and restated its existing Loan and Security Agreement with M&T Bank. The revised Agreement maintained the Company’s existing $5.5 million revolving credit facility and $1.87 million term note and introduced a new $20 million line of credit for acquisitions, which the Company drew on to finance its acquisition of Crown I Enterprises.
