Our team is dedicated to helping nonprofit organizations fulfill their missions through comprehensive legal guidance tailored to the unique demands of tax-exempt entities. We regularly serve as outside general counsel to nonprofit organizations that include public charities, private foundations, colleges and universities, religious organizations, trade associations, health care organizations, and fraternities, sororities, and many others. Drawing on extensive subject matter experience and the full resources of the firm, we provide concierge-level service to nonprofit executive teams and strategic, trusted guidance to boards and committees.

Our practice addresses the full spectrum of legal and operational challenges facing the sector:

  • Tax and regulatory compliance. We advise on tax-exempt status, executive compensation, lobbying and political activities, unrelated business income (UBI), IRS audits, and attorney general investigations.
  • Corporate governance. Our attorneys provide guidance to leadership on governance structures, bylaws, fiduciary duties, conflicts-of-interest, membership structures, and complex reorganizations to ensure long-term stability.
  • Finance and philanthropy. We provide sophisticated counsel on fundraising, endowment management, restricted funds, and fiscal agency arrangements. For grantmakers, we manage the intricacies of donor-advised funds, international giving, and disaster relief. We offer a nationwide charitable solicitation registration service for charities on a flat-fee basis. 
  • Impact investing. We advise on structuring and mitigating compliance risk in connection with impact investments and collaborative funding arrangements. 

When missions extend across borders, we help navigate the complexities of global charitable operations to ensure compliance and effectiveness. 

We also routinely advise corporate foundations on community grantmaking and charitable employee programs.
