Overview
Adam Weinstock co-leads the firm’s mergers and acquisitions team, and has significant experience representing sophisticated clients on large-scale M&A and capital markets transactions. He draws on his JD/MBA degrees and his experience as a certified public accountant to support an insightful, business-oriented approach to helping his clients achieve their strategic objectives. Adam represents clients in a variety of sectors, with a particular focus on technology, food and beverage, industrial, and insurance industries.
Mergers and Acquisitions
Adam has substantial experience representing strategic clients and private equity sponsors in complex M&A transactions and joint ventures. He regularly handles cross-border acquisitions and divestitures for U.S. and non-U.S. companies. Adam also represents buyers, sellers and trustees in employee stock ownership plan (ESOP) transactions, and represents insurance companies in complex reinsurance transactions.
Representative Experience
- Graham Partners, a private investment firm, and its portfolio companies throughout the U.S. in multiple mergers, acquisitions, recapitalizations, dispositions and financing transactions
- Ansell Healthcare Products in several acquisitions, including the $640 million acquisition of the personal protective equipment business of Kimberly-Clark and the $615 million acquisition of BarrierSafe Solutions
- Primo Water Corporation (NYSE: PRMW) in various acquisition and divestiture transactions ranging from $50 million to over $1 billion, as well as its recent $8 billion combination with BlueTriton Brands to form Primo Brands Corporation (NYSE: PRMB)
- Various platform and add-on acquisitions and dispositions for multiple private equity sponsors
- Multiple strategic acquisitions for publicly traded software companies
- Several large insurance companies in traditional M&A as well as complex collateralized reinsurance transactions
- Sale of publicly traded retailer in auction process to strategic buyer for $900 million
- Multiple large M&A transactions for aerospace companies
- Multiple cross-border transactions for U.S. and non-U.S. companies
Capital Markets
Adam has advised on initial public offerings (IPOs), follow-on offerings, and other registered and unregistered debt and equity offerings.

- Workiva Inc., a cloud-based SaaS company, in its $100 million IPO and subsequent offerings
- Hamilton Lane Incorporated (NASDAQ: HLNE), an alternative investment management firm, in its $200 million initial public offering and multiple subsequent offerings
- Public debt offerings totaling over $10 billion for a multinational diversified manufacturer
- Multiple public follow-on offerings by companies in the technology, energy, pharmaceutical, financial services and insurance industries
- Private placements of debt and equity for multiple early-stage companies
Securities and Governance
Adam regularly advises public company clients on corporate governance and disclosure matters, and serves as the primary outside securities and governance counsel for multiple public companies. He also advises private companies on corporate matters throughout all phases of the corporate life cycle, from formation transactions through eventual sale or liquidation.
