Overview

Gary Bellingham advises clients on a broad range of finance transactions, including real estate finance, leveraged finance, receivables financing, and working capital facilities, as well as corporate recovery and restructuring matters.

Drawing on over 20 years of legal experience in financing transactions, Gary’s practice is built on delivering strategic, practical solutions for borrowers, lenders, and investors involved in high-value debt financings and restructurings.

Having worked at leading UK and US law firms, Gary has extensive experience in both domestic and cross-border financing transactions. His commitment to understanding clients’ commercial objectives and his broad transactional experience enable him to anticipate and navigate risks, provide tailored commercial advice to clients, and support clients through every stage of the transaction process.

Real Estate Finance

In the real estate sector, Gary has experience in structuring and negotiating a wide spectrum of commercial real estate lending arrangements — including investment loans, development loans, capital call financings, net asset value (NAV) financings, and various shareholder funding arrangements — acting for lenders and for borrowers such as investment funds, developers, and operators. He has experience in all major commercial real estate asset types including offices, retail, logistics, industrial, and residential assets such as student accommodation, co-living, and private rented sector / build-to-rent assets.

Finance & Restructuring

In the leveraged finance space, Gary advises clients on acquisition financing transactions and ongoing financing arrangements for sponsors and portfolio companies. He also advises fund clients on subscription line facilities and other working capital arrangements.

Gary has experience working alongside restructuring colleagues on corporate workouts, security enforcements, and administration in various sectors, including real estate, technology, manufacturing, and life sciences.

The firm’s finance and restructuring practice has been recognized in Chambers Global 2026, Chambers UK 2026, Legal 500 UK 2026, and the Global Restructuring Review’s GRR 30 list for 2025.

Representative Experience

Real Estate Finance

  • Advised Northwood Investors on the €50 million refinancing of the Four Seasons Prague Hotel.
  • Advised Crosstree Capital Partners on the £97 million facility provided by Lloyds Bank plc in connection with the acquisition of The Collective Canary Wharf.
  • Advised Scape Group plc on the £157 million facility provided by Aareal Bank AG in connection with the refinancing of three student accommodation assets.
  • Advised Paloma Capital on various financings, including the £195 million financing provided by Wells Fargo and other lenders in connection with a portfolio of industrial assets.
  • Advised the Ardent Companies on various financings, including in connection with the acquisition of the Touchwood Shopping Centre.
  • Advised an international bank in connection with a net asset value (NAV) financing provided to a real estate investment fund to refinance an existing property and provide additional liquidity to the fund.
  • Advised multiple funds on a range of capital call financings, secured against undrawn investor commitments in the relevant funds.

Acquisition Finance

  • Advised Long Ridge Equity Partners on the £19.5 million financing entered into in connection with its acquisition of a majority interest in a UK cybersecurity company.
  • Advised Nomad Foods in respect of its €2.6 billion acquisition and financing of Iglo Foods and subsequent financing of its acquisition of Findus Group’s Continental European Businesses.
  • Advised CVC in respect of the CHF 1.07 billion senior facilities agreement entered into in connection with its acquisition of Sunrise Telecommunications.
  • Advised PAI Partners in connection with the €50 million super-senior revolving credit facility agreement entered into in connection with the acquisition of a majority interest in Cerba Laboratories.

Finance

  • Advised Peratech in connection with an IP-backed credit-insured $31.5 million financing provided by private credit funds.
  • Advised Oxford Finance, a specialist nonbank lender in the life sciences sector, on the English law aspects of various financings provided to companies in the life sciences sector.
  • Advised a consumer goods company in connection with a $14.5 million asset-based loan (ABL) financing.
  • Advised a UK entertainment operator on a £8.1 million working capital facility used to fund the expansion of its UK business.

Restructuring

  • Advised the secured lender on the restructuring and new-money financing of a large residential real estate group with a portfolio across multiples cities in Germany.
  • Advised the ad hoc group of minority creditors in the ongoing challenge of the restructuring (liability management exercise) of the Selecta Group.
  • Advised Elanco in relation to the restructuring of certain of the TriRx Pharmaceutical companies, which included the purchase of the business and assets of TriRx Speke Ltd (in administration).
  • Advised Daishin F&I in connection with the strategy, contingency planning, and enforcement option analysis in relation to the ultimately successful bid for the acquisition from Bank of Ireland of the senior debt and the subsequent restructuring in respect of iconic City building 1 Poultry.
  • Advised a manufacturer of advanced recyclable, biodegradable, and marine-safe packaging products in the restructuring of its senior, secured, insurance-backed debt.
  • Advised a major lender to an Eastern European-based, systemically important, nuclear energy company in respect of a defaulted loan, related restructuring, and exit negotiations.

Personal Interests

Outside the office, Gary is a sports enthusiast, with a particular interest in rugby and football, and enjoys taking his children to watch Arsenal Women and the mighty Leyton Orient FC. He is a former junior bridge international and hammer thrower, proudly representing Northern Ireland in both. He also enjoys running and reading (but not at the same time).
