Overview
Madelyn Pung is an investment funds and management attorney who counsels private fund sponsors and investors, investment advisers, institutional investors, and registered funds and their boards on transactional, regulatory, governance, and business matters.
Her private funds practice spans a range of investment strategies, including private equity, venture capital, private credit, and other alternative asset classes, across both drawdown (closed-end) and evergreen vehicles, and a variety of fund structures, including master-feeder structures. She also advises registered investment companies, including open-end funds (mutual funds and ETFs) and closed-end funds (including interval funds and tender offer funds).
Funds & Investment Management
Madelyn’s practice covers the fund life cycle, from formation, structuring, and fundraising through ongoing operations and investor relations. In her private funds work, she represents sponsors and investors in negotiating fund-governing documents and side letters, as well as secondary transfers, co-investments, and other fund-related matters. In her registered funds work, Madelyn advises funds, their advisers, and boards on compliance with the Investment Company Act of 1940 and other federal securities laws, including US Securities and Exchange Commission (SEC) filings and evolving disclosure and reporting requirements.
In-House Experience
Before joining Faegre Drinker, Madelyn served as legal and compliance counsel at Norwest Equity Partners, a private equity firm headquartered in Minneapolis. Drawing on her in-house experience, she brings a practical understanding of fund operations, investor relations, and the day-to-day legal needs of private fund managers across equity and debt strategies. Her background informs her work on anti-money laundering (AML) and know-your-customer (KYC) diligence, compliance policies and procedures, governance frameworks, contractual matters, and investor communications.
