Overview

Sheremy Anderson works with public and private companies to ensure they understand and comply with federal and state legal and regulatory requirements, including corporate governance and ongoing reporting requirements with the U.S. Securities and Exchange Commission. Sheremy also assists issuers in SEC-registered and exempt capital markets transactions, including debt and equity offerings, secondary offerings, and private placements.

Thorough and detail-oriented, clients rely on Sheremy to get them and keep them in regulatory compliance. She advises public and private companies — from Fortune 100 companies to start-up businesses — in many sectors including manufacturing, retail, pharmaceuticals, technology, banking, gaming, insurance, and hospitality and restaurants.

Securities Compliance & Transactions

Sheremy assists public companies with their ongoing disclosure and compliance requirements, including periodic reporting (Forms 10-K, 10-Q, and 8-K), proxy statement and annual meeting matters, and stock exchange listing obligations.

She also counsels public companies on public offerings, private placements of debt and equity securities, and other securities transactions.

Commercial Contracts

Sheremy helps clients across a variety of industries and around the globe to build partnerships and negotiate business arrangements. Her experience consists of drafting and advising on a wide range of commercial contracts, including supply, distribution, services, consulting, and confidentiality agreements.

Prior Experience

Sheremy’s prior experience includes nearly 10 years in the hospitality industry, most recently serving as the director of banquets at the Sheraton Indianapolis at Keystone Crossing, overseeing an annual $4-5 million budget.

During law school, Sheremy served as an extern for the Honorable Chief Justice Loretta H. Rush in the Indiana Supreme Court, and also participated in an externship serving all four judges in the U.S. Bankruptcy Court for the Southern District of Indiana. Further, she worked as an extern for the Honorable Stephanie S. Campbell in the Fountain County Circuit Court, where she drafted sentencing orders, researched procedural issues, and notably assisted Judge Campbell in procuring a grant to launch a jailed chemical-addiction program. In addition, Sheremy was a summer associate and diversity fellow at Faegre Drinker.

Personal Interests

Sheremy enjoys cheering for her children at their basketball and football games, perpetuating the Polynesian culture with the nonprofit group Indy Hula, and singing.

Pro Bono

Sheremy has helped pro bono clients gain temporary protected status, apply for citizenship, and obtain asylum. She also volunteers with the ABA “Free Legal Answers” virtual legal advice clinic and serves in the “Wills for Heroes” clinic, preparing wills and health care directives for local first responders.
