Clients looking to buy a business often engage outside counsel to help negotiate the terms of the transaction and conduct due diligence to identify any material liabilities that may impact the value of the target. Liabilities may exist in many different areas, including with respect to the target’s labor and employment practices and contractual obligations that impact the workforce. Therefore, employment lawyers regularly review such things as exempt/non-exempt classifications, minimum wage compliance, timekeeping practices, Form I-9 practices, background check compliance, workplace safety practices, collective bargaining obligations, the use of staffing agencies and independent contractors, and employment-related litigation. In conducting due diligence, employment lawyers must not only consider federal law, but state and local laws that impact the employment relationship, especially as more employees work remotely.

Employment attorneys Jerry Hathaway, Jeff Beck, Kelly Petrocelli and Sari Long will share what they have learned from advising clients on transactions over the years. Those who attend will gain an understanding of the due diligence process in the labor and employment area, where material liabilities may exist, the impact of reps and warranties insurance, the employment-related terms of a purchase agreement, and how to quantify potential liability to help clients evaluate risk.
