Roth Capital Partners is Placement Agent in $4.5M Offering and $16M Private Placement

Roth Capital Partners served as the exclusive placement agent in two transactions for Biofrontera, a biopharmaceutical company specializing in the commercialization of dermatologic products. Faegre Drinker provided legal counsel to Roth Capital Partners in both transactions. The first transaction involved Roth Capital Partners acting as the exclusive placement agent in a $4.5 million registered direct offering, where Biofrontera entered into a securities purchase agreement pursuant to which they agreed to issue and sell an aggregate of 150,000 shares of common stock, pre-funded warrants to purchase 1,055,000 shares of common stock, and warrants to purchase 1,807,500 shares of common stock. The second transaction for Biofrontera involved Roth Capital Partners acting as the exclusive agent in a $16 million private placement.
