Overview

Tom Schroeder works closely with clients in the health care industry to advance their goals as care providers, businesses and regulated entities. He focuses on health care transactions, regulatory compliance, health information privacy, Medicare/Medicaid issues and tax exemption matters.
His work has included:

Stark, Anti-Kickback and False Claims Act Compliance

  • Counseling clients concerning anti-kickback and other fraud and abuse issues
  • Analyzing the application of the Stark Law and regulations to health care investments and transactions
  • Resolving Stark Law violations, assessing exposures and facilitating repayments
  • Counseling and facilitating self-disclosures under Stark's Self Referral Disclosure Protocol (SRDP) and the OIG's Self Disclosure Protocol
  • Performing legal compliance reviews and assisting in the development of compliance programs
  • Defending federal and state health care Fraud/False Claims Act lawsuits and government enforcement
  • Negotiating and implementing Corporate Integrity Agreements
  • Conducting internal investigations into alleged fraud and abuse, reimbursement and other compliance matters

Medicare/Medicaid Participation

  • Interpreting Medicare/Medicaid participation, coverage and reimbursement criteria
  • Responding to state surveys, formulating plans of correction and appealing deficiencies
  • Analyzing coding and documentation issues, and responding to state and federal audits of same
  • Facilitating payment adjustments, repayment and overpayment extrapolation analysis

Health Care Mergers, Acquisitions and Joint Ventures

  • Organizing, joint-venturing and reorganizing laboratory, imaging and other ancillary service providers
  • Assisting hospitals, physician-hospital organizations and health care systems in forming, merging and acquiring health care and related entities
  • Drafting and reviewing professional employment and services agreements
  • Negotiating and drafting provider services agreements and other arrangements between providers
  • Advising nonprofit corporations concerning tax exemption issues
  • Converting for-profit to nonprofit entities and executing mergers between same

Government Hospital Privatization

  • Assisting hospital boards, governmental bodies and community stakeholders in analyzing the pros and cons of privatizing publicly-owned hospitals
  • Presenting structural options for privatization
  • Resolving complications raised by public to private conversions
  • Facilitating community forums and media presentations regarding privatization
