Overview

Liz Baxter counsels clients in the investment management industry, including investment companies, boards of directors and investment advisers.

Registered Funds

Liz has a strong background in advising registered funds. Her practice includes providing counsel to mutual fund, exchange-traded fund and closed-end fund complexes through fund launches, transactions and ongoing regulatory compliance. She also advises independent fund boards on board governance matters and regulatory and compliance matters. She has extensive experience drafting and reviewing registration statements, regulatory filings, and board governance documents for ETFs, mutual funds and closed-end funds.

Private Funds

Liz also supports the formation and structuring of private funds, preparing offering documents, subscription agreements and side letters. Her practice is marked by a strong understanding of federal securities laws and a commitment to helping clients navigate complex regulatory requirements.

Prior Experience

Before joining Faegre Drinker, Liz worked for a global law firm known for its strength in corporate law, finance and investment services.

While in law school, Liz interned with the SEC’s Enforcement Division, where she conducted legal research on securities law. As a law clerk with the D.C. Department of Consumer and Regulatory Affairs, she represented the agency in administrative hearings, prepared legal memoranda and negotiated settlements.

Personal Interests

Outside of the office, Liz enjoys hiking, fiber crafting, weightlifting, growing plants, yoga and her two cats.
