Drinker Biddle Advises on Second Enstar Deal Within Two Weeks

A team of lawyers from Drinker Biddle's Corporate & Securities and Tax practice groups advised Enstar on a $181 million acquisition.

Enstar, a Bermuda company, acquires and manages insurance and reinsurance companies in run-off and portfolios of insurance and reinsurance business in run-off, and provides management, consultancy and other services to the insurance and reinsurance industry.

In a press release, Enstar announced that it has entered into a definitive agreement to acquire all of the shares of Household Life Insurance Company of Delaware and HSBC Insurance Company of Delaware from Household Insurance Group Holding Company, an affiliate of HSBC Holdings plc. The base purchase price for the Enstar/HSBC deal is $181 million.

Advising Enstar on the deal with HSBC were partners Robert C. Juelke, Daniel C. Krane, and Matthew M. McDonald, associates Laura M. Hemm, Peter J. Lively, and Yevgeniy Markov of the Corporate & Securities Practice Group, and partner Stephen D.D. Hamilton, of counsel John W. Weber Jr, and associate Brian DeVirgilio from the Tax Practice Group.

The firm also advised Enstar in a $252 million deal to acquire Seabright Holdings that was announced on August 27.
