A Faegre Drinker team recently represented Randa Apparel & Accessories (Randa) in its acquisition of the UNTUCKit brand and operations. The transaction closed on August 31, 2026.
The transaction involved a complex acquisition and financing structure, including cross-border elements involving the United States, Canada, and the UK. The deal was closely coordinated across a multidisciplinary Faegre Drinker team, including members of the firm’s UK team, to address interconnected transactional, financing, tax, employment, real estate, and other matters and complete the transaction.
Founded in 1910, Randa is a privately held global apparel and accessories company with a portfolio of owned, operated, and licensed brands that includes Haggar, Totes, Calvin Klein, Tommy Hilfiger, Levi’s, Tribal, Columbia Sportswear, and Cole Haan. Founded in 2010, UNTUCKit is a digitally native menswear brand that has grown from its signature shirt designed to be worn untucked into a direct-to-consumer business with a substantial e-commerce presence and more than 70 retail stores.
The acquisition brings together UNTUCKit’s innovative designs and deep customer relationships with Randa’s global sourcing capabilities, retail relationships, and operating scale. The transaction advances Randa’s strategy of building and investing in leading brands while expanding its direct relationship with consumers.
The Faegre Drinker transaction was led by corporate partners Marc Leaf and Vanessa Tabler and corporate associates Ariana Najafi and Christina Lidondici.
