Faegre Drinker Advises Real Housewife & Fashion Icon Rachel Zoe on Major Gordon Brothers Partnership

A Faegre Drinker team led by Jamie Fitzsimmons, Elizabeth Lange, Sean FitzGerald, Tore DeBella, Charlotte Damico, and Grace Polisano; together with RiverWest Capital Group, LLC, a leading investment management firm, provided comprehensive legal and strategic counsel to Rachel Zoe Creations, LLC (“RZC") in connection with a transformative partnership with Gordon Brothers.

On December 15, 2025, RZ Brands Holdings, LLC (parent of RZC) and other related parties entered into a Contribution Agreement with 1903 Brands, LLC, a subsidiary of Gordon Brothers, pursuant to which Gordon Brothers, acquired a majority equity interest in Rachel Zoe Creations. Faegre Drinker's team played a pivotal role in structuring and negotiating the transaction, ensuring that Rachel Zoe remains a significant shareholder and continues her active involvement as founder, chief creative officer, and board member. The agreement positions the Rachel Zoe brand for accelerated growth and innovation in the fashion and lifestyle sector, while safeguarding Rachel Zoe's creative leadership and legacy.

This strategic transaction represents a significant milestone for the Rachel Zoe brand, which has evolved from Zoe's origins as a celebrity stylist and entrepreneur into a globally recognized fashion and lifestyle company, with licensing across apparel, home, fragrance, eyewear, and children’s and baby products. Leveraging Gordon Brothers' expertise in brand expansion, licensing, and strategic partnerships, the Rachel Zoe brand is poised to enter new product categories and markets under Zoe's continued visionary direction.
