Faegre Drinker Represents Goldner Hawn in its sale of Portfolio Company Terra Firma to DKSH

A Faegre Drinker team led by corporate attorneys Eli Isaacs, Ken Ludlum and Carolyn Shea, with the support of client team leader Ryan Miske, provided legal counsel to private equity investment firm Goldner Hawn in the sale of its portfolio company Terra Firma to DKSH, a Swiss holding company specializing in market expansion services, for $360 million. The deal closed October 31, 2022.

Terra Firma is a leading distributor of specialty chemicals in North America and the transaction was an important step in DKSH’s strategy to build a global distribution platform for specialty chemicals and ingredients.

The deal team also included corporate attorneys Richard Bennett, Matthew Levy and Allison Schten, benefits and executive compensation partner Page Fleeger and associate Mark Rosenfeld, real estate partner Paul Moe and tax partner Lisa Pugh.

Goldner Hawn, headquartered in Minneapolis, has been a source of private capital to leading lower middle market companies for over 30 years. Goldner Hawn has made over 90 platform and add-on investments in companies with total transaction values approaching $4 billion.
