Overview

Matt Levy helps both public and private companies expand and operate across borders. He advises on cross-border transactions and international regulatory issues, with experience in more than 40 countries.
Matt represents clients in M&A, international trade, foreign investment matters and antitrust. He collaborates with companies in the manufacturing, insurance, food and agribusiness, logistics, pharmaceuticals and medical device industries. Matt lived and studied in China for three years.

Mergers and Acquisitions

Matt represents buyers and sellers in stock and asset acquisitions, mergers, joint ventures and other corporate reorganizations. Matt recently led cross-border deal teams in the sale of a business in Kenya, the divestiture of a U.S. business unit of a French company, and an acquisition of a U.S. joint venture by a Chinese investor.

International Trade

Matt advises clients on U.S. export and import matters, including compliance with the Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), economic sanctions program and embargoes administered by the Office of Foreign Assets Control (OFAC) and U.S. Customs regulations.

Foreign Investment

Matt advises U.S. companies on direct and indirect investment overseas, as well as foreign investment in the U.S. His work has included:

  • Forming wholly-owned subsidiaries, joint ventures and representative offices in more than 15 countries spanning Europe, Asia, Central and South America and the Middle East
  • Drafting commercial agreements for sales of products and services in 20 countries across North America, South America, Europe, the Middle East, Africa and Asia
  • Advising on corporate governance matters in more than 40 countries

Antitrust

Matt advises on the Hart-Scott-Rodino Act and helps clients obtain federal antitrust approval of M&A and other corporate transactions. He also counsels buyers and sellers on compliance with foreign merger controls — the foreign equivalents of HSR. Matt has helped clients file foreign merger control notifications in Austria, Germany, Ireland, Israel, South Africa, South Korea and Taiwan.
