Private Equity Fund Affiliate Completes Sale of Membership Interests in Company

A private equity fund affiliate sold its membership interests in an accounts receivable and customer relationship management (CRM) company. Our firm represented the affiliate in the sale. The sale was for base consideration plus contingent consideration payable in the event that certain EBITDA-based milestones are satisfied, in addition to an additional change-of-control payment in the event that the business is sold within a certain number of years post-closing.
