Franchisor's Corporate Store Owner Achieved Negotiated Dismissal with Prejudice on Breach of Contract Claims

The corporate store owner in a restaurant franchise system, an affiliate of the franchisor, defended against a lawsuit in federal court in Florida alleging that the store owner breached an asset purchase agreement to acquire 12 previously-franchised stores. The corporate store owner aggressively counterclaimed that the seller breached representations, warranties, and covenants in the asset purchase agreement and breached indemnification obligations.
