Mergers & Acquisitions
Nicholett represents buyers, sellers and institutional investors in a wide range of M&A transactions and strategic investments. She has extensive experience advising both public and private companies in transformational and cross-border deals, regularly serving as a key point of contact for clients throughout the transaction lifecycle. Nicholett helps facilitate and keep deals on track, guiding clients through complex issues and ensuring smooth execution. Her work includes drafting and negotiating purchase agreements and higher-level ancillary documents, with a focus on practical, solutions-oriented counsel that drives deals forward.
Franchise & Distribution and Corporate Governance
In addition to her M&A work, Nicholett advises franchisor clients on franchise disclosure document (FDD) review and handles related filings with the FTC, supporting their ongoing compliance and regulatory needs. She also assists public companies with a variety of corporate governance matters, including routine reporting and organizational maintenance. While these matters make up a smaller portion of her practice, Nicholett approaches them with the same attention to detail and responsiveness that define her transactional work.
Prior Experience
Nicholett served as a summer associate at Faegre Drinker for two summers. During her time as a summer associate, she supported attorneys with corporate matters and performed legal research and analysis in a variety of areas.
During law school, Nicholett served as a judicial extern for the Hon. Justice Thomas D. Waterman for the Iowa Supreme Court, where she drafted judicial opinions and bench memoranda for cases before the court.
Personal Interests
In her spare time, Nicholett enjoys running, biking, hiking, cooking and spending time with her family.
