The Minnesota Business Torts Deskbook with CD-ROM, edited by Edward T. Wahl and published by Minnesota CLE (2008), is a reference guide for Minnesota business attorneys and judges. Five Faegre & Benson attorneys contributed chapters to this first edition of the Deskbook, with each chapter providing orientation and analysis on various practice issues.
Charles F. Webber's "Common-Law Fraudulent Misrepresentation and Negligent Misrepresentation" discusses elements of a common-law fraudulent misrepresentation claim and elements of a common-law negligent misrepresentation claim, as well as statute of limitations, pleading a fraud claim, burdens of proof, defenses and other miscellaneous issues. "Fiduciary Duty," co-authored by Edward T. Wahl, defines fiduciary duty and reviews fiduciary relationships, breaching fiduciary duties, defenses, and damages and remedies. In "Franchise Law," William L. Killion and Kerry L. Bundy examine Minnesota franchise law, disclosure and registration laws, relationship laws and related issues.
