CLE Program: Equity Rollover Strategies for Sellers: Maximizing Value and Minimizing Risk

Corporate partner Ryan Miske participated on a panel at the ABA Business Law Fall Meeting in Toronto on the subject of equity rollover strategies for sellers.

The program focused on M&A trans-actions (should this be "transactions"?) where the sellers (i.e., founders and/or family members) either (i) retain an equity stake in the target business, or (ii) exchange their equity stake in the target business for equity in the new entity created by the buyer. Program participants learned about the benefits of rollover equity as well as the issues they must consider in structuring and negotiating a rollover equity transaction.
