Overview

Eirik Tellefsen works to understand the underlying objective of every finance and strategic transaction he advises on, and partners with clients to structure and optimize deals with those objectives in mind. He is equally at home representing lenders and borrowers in finance agreements, and he has earned a strong reputation among financial institutions for his skillful handling of commercial loan transactions, including syndicated credit facilities and asset-based loans.

Finance Transactions

Eirik represents public and private companies in finance agreements that advance their business goals, with particular experience in middle market loans. He helps clients structure and negotiate all aspects of financing transactions, including senior secured financing, second-lien financing and mezzanine financing. Eirik also has experience with intercreditor issues and negotiating intercreditor and subordination agreements.

Representative Experience

Representation of Lenders

  • Represented the administrative agent in a $1.6 billion senior secured credit facility for a medical device company
  • Represented the administrative agent in a $200 million multi-currency, multi-jurisdiction senior secured credit facility for a communication engineering company
  • Represented the administrative agent in senior secured acquisition financing for private equity transactions, including platform acquisitions, add-on acquisitions and dividend recapitalizations
  • Represented mezzanine lenders in secured and unsecured credit facilities and related warrants and equity investments

Representation of Borrowers

  • Represented the purchaser/borrower in the acquisition of a UK-based beverage company and related amendment to an asset-based credit facility
  • Represented the company/borrower in a corporate restructuring and related amendment to a multi-jurisdiction asset-based credit facility
  • Represented the issuer, a food distributor, in the private placement of $1 billion of debt instruments
  • Represented the issuer, a health industry material provider, in the private placement of approximately $100 million of notes denominated in multiple currencies

Mergers and Acquisitions, and Other Financing

  • Represented a sponsor in an energy efficiency loan warehouse facility in preparation for a future securitization
  • Represented the seller, a rail terminal developer/operator, in the disposition of rail terminals with a sale price of $500 million
  • Represented the issuer, an insurance company, in repurchasing and unwinding its auction-rate securities
