Overview

Mona Ghude provides comprehensive legal counsel and representation to public and private employers on a broad array of matters including equity plans, deferred compensation plans and retirement plans. Mona has put together and led multidisciplinary teams to help clients tackle complex benefits and benefits-related tax projects, including a multibillion-dollar pension plan lift-out and tax issues related to voluntary employees' beneficiary associations.

Representative Experience

  • Drafting and implementation of long-term equity incentive plans and employee stock purchase plans taking into account applicable sections of the Tax Code and, in the case of public companies, providing strategic guidance on Institutional Shareholder Services (ISS) policies to align plan design with shareholder governance standards.
  • Advising public company employers on governance and shareholder approval issues.
  • Drafting and advising on deferred compensation plans and in particular advising on compliance matters related to section 409A of the Tax Code.
  • Advising on retirement plan integration following corporate transactions including on issues related to plan spin-offs and mergers.
  • Advising on complex retirement plan issues including qualified separate lines of business analysis and partial termination matters.
  • Advising on pension plan termination and reversion issues.
  • Advising on reversion issues related to voluntary employee benefit associations.
  • Providing fiduciary training and advice to benefit plan committees.
  • Advising on corporate transactions and credit agreements regarding benefit plan risks and representations and warranties.
  • Resolving audits with Federal regulatory agencies.
