Senior Executives Negotiate New Compensation, Employment, Equity, and Governance Arrangements

Four senior executives at an entertainment company negotiated new compensation arrangements, employment agreements, equity arrangements, and changes to the company’s operating agreement. Faegre Drinker represented the executive chair of the board, two co-CEOs, and the chief operating officer in highly adversarial negotiations with the private equity fund controlling their employer. The negotiations involved multiple aspects of the executives’ employment, compensation, equity, and governance arrangements and were further complicated by one executive’s ownership interests in related entertainment venues.
