Overview

Remy Nshimiyimana advises private and public companies, private equity sponsors, and investment firms on transactions and commercial arrangements that support growth, operational continuity, and strategic change. His practice centers on mergers and acquisitions, complex commercial contracts, and practical guidance shaped by Fortune 50 in-house experience.

Mergers & Acquisitions

Remy represents domestic and international clients in middle-market M&A transactions across industries including technology, financial services, transportation, and food and agriculture. He guides clients through the full deal lifecycle — structuring, diligence, negotiation, closing, and post-closing implementation — with a focus on aligning legal terms with business objectives. In prior in-house secondments at two Fortune 50 companies, including service as lead counsel on M&A transactions for a global media and technology company, Remy gained firsthand insight into how legal and business teams make high-stakes decisions.

Complex Commercial Contracts

Remy also manages the full lifecycle of complex procurement, supply chain, services, and other commercial agreements. His experience includes advising on procurement matters involving billions of dollars in annual purchasing spend, negotiating mission-critical supply contracts worth hundreds of millions of dollars, and managing commercial contracting for a leading global agricultural inputs company. He brings a practical understanding of how commercial agreements allocate risk, protect critical relationships, and support operations across sectors, supply chains, and product categories.

International Experience

Remy's global perspective is rooted in his personal and professional journey. He grew up in Rwanda, lived through the 1994 genocide, and immigrated to the United States at 23. He graduated summa cum laude from the University of Pennsylvania, earned his J.D. from the University of Pennsylvania Law School, where he served on the Journal of International Law, and spent his final year of law school in Paris earning master's degrees in global economic law from Sciences Po and Université Paris I Panthéon-Sorbonne. That path informs the resilience, curiosity, and cross-cultural awareness he brings to his client relationships.

Fluent in French and educated at leading US and French law schools, Remy regularly advises foreign companies on the US legal aspects of inbound investments and acquisitions. His international legal education and cross-cultural experience help clients bridge legal systems and business cultures in cross-border transactions.

Service & Recognition

Outside his practice, Remy serves on the boards of the Economy League of Greater Philadelphia, The Ties Foundation, the Alliance Française de Philadelphie, and Kenya Works, a US and Kenyan nonprofit supporting vulnerable children and families in Kenya. He is also a participant in the MCCA C-Suite leadership program, a 2023 Leadership Council on Legal Diversity (LCLD) Fellow, and an alumnus of Leadership Philadelphia.

Remy is committed to pro bono service, including assisting low-income Philadelphia residents, through Philadelphia VIP, with estate probate and securing title to family homes, and representing individuals in immigration matters.
