Overview
Allison Kolberg advises U.S. and international public and private companies, private equity firms, and funds on a range of sophisticated corporate transactions, including mergers and acquisitions, capital markets, fundraises, and corporate governance.
Corporate Transactions
Allison drafts and negotiates a broad range of agreements for clients. Her industry experience spans sports and entertainment, life sciences and health care, and energy and natural resources including renewable energy, battery technology and mining. Allison also advises high net worth individuals and family offices on mergers and acquisitions and other corporate matters.
Allison adds value for clients by providing routine trainings and Continuing Legal Education (CLE) presentations on corporate and finance topics.
Representative Experience
- A global private equity firm in a $5.8 billion acquisition of an international lottery business.
- A national wireless carrier in a $1.35 billion acquisition of a budget service provider.
- A consortium of seven major U.S. banks in their investment in a digital wallet platform.
- A U.S.-based public aerospace company in an SEC-registered debt offering of $350 million of 4.125% senior notes.
- Advised a global private equity firm in a $250 million investment in a biodiesel producer.
- A family office in a $120 million acquisition of a professional women’s soccer team.
Prior Experience
At Harvard Law School, Allison served as a legal intern at the Colorado Office of the Attorney General, as president of the Harvard Environmental Law Society and as editor of the Harvard Environmental Law Review. She also co-taught a course in Environmental Law to students at Boston College. During Allison’s undergraduate study at Yale, she completed an intern program at the UK Ministry of Defence and the University of Cambridge.
Personal Interests
In her free time, Allison enjoys running and skiing in the Colorado mountains, as well as rooting for all the local professional sport teams.
