Directors and “Unfettered” Rights to Company Information

Philadelphia partner Doug Raymond authored an article in the Director & Boards 2017 Annual Report titled “Directors and ‘Unfettered’ Rights to Company Information.” The article addressed concerns that can arise when directors share information with the stockholders that put them on the board.

Citing the Oxbow Carbon decision, Doug states that it is in companies’ and investors’ best interests to plan ahead how to deal with investor-appointed directors and information rights associated with investor representatives on a corporate board.
