A Post-Vaalco Look at State Director Removal Statutes
Philadelphia partner Bill Clark and associate Ken Ludlum published an article in Law360 titled, “A Post-Vaalco Look at State Director Removal Statutes.” The article discussed the recent ruling in In re Vaalco Energy Inc. Shareholder Litigation, which is causing Delaware companies to look more closely at the director removal provisions in their organizational documents.
In their article, Bill and Ken analyze Vaalco and compare it to the business corporation laws of several states other than Delaware, as well as provide suggestions on how companies incorporated both in Delaware and elsewhere should move forward after the ruling.
