Understanding Damages and Indemnities in Commercial Contracts

Overview

Philadelphia partner Bill Clark and Dan Krane were course planners and speakers for this Pennsylvania Bar Institute CLE course, “Understanding Damages and Indemnities in Commercial Contracts.” The speakers took a backward look at negotiating a deal by examining the damages and indemnities that come into play after a breach of contract and offered document-crafting guidance to ultimately avoid a breach. Bill and Dan, both partners in the Corporate and Securities Practice Group instructed participants on learning from a breach of contract and exploring the differences between the types of damages, the impact each may have on the ability to recover from a breach, and when it would be appropriate to limit the types of damages that may be sought. Other topics included mitigation of damages, indemnification and other contractual remedies and insurance issues arising in contracts.
