Overview

Philadelphia partners Doug Raymond and Bill Clark participated in a Pennsylvania Bar Institute seminar "The Changing Rights and Roles of Public Company Shareholders," Jan. 19, 2010, in Philadelphia. Bill, a partner in the Corporate and Securities, and Government and Regulatory Affairs Practice Groups, served as course planner and moderator for the event, which included discussions on reimbursement of shareholder proxy solicitation expenses, the effect of amended NYSE Rule 452 on director elections, changes to SEC staff positions on shareholder proposals and what proposals will be hot this year, and executive compensation, including the new rules on compensation disclosure. Doug, a partner in the Corporate and Securities Group, spoke on the topics of "Changes in the Election of Directors" and "Preparing for Proxy Access."
