Risk solutions for CSIA members

CSIA Legal Plan Logo Effectively managing legal risk is a recognized best practice of Control System Integrators Association (CSIA) members — and is essential to sustained success for companies generally. For control system integrators, such risks extend through nearly every business decision — from the hiring of key employees, to the signing of contracts, to the identification, preservation and development of intellectual property.

Since 2003, legal advice from the automation lawyers of Faegre Drinker has been available to CSIA members in the form of presentations on legal topics at the annual conference and regular articles in the CSIA newsletter. In addition, many integrators have come to rely upon Faegre Drinker lawyers as their company attorneys.

CSIA Legal Plan Chart

Every CSIA member is automatically enrolled in the CSIA Legal Plan. The object is to ensure that each CSIA member, whether certified or not, has access to quality legal advice from lawyers who understand their industry.

Automatic Enrollment

All CSIA members are automatically enrolled in the CSIA Legal Plan at no charge.

Terms and Conditions Update

All participants in the CSIA Legal Plan are entitled to have one version of their standard company contract/terms and conditions reviewed and updated in English either free of charge or at a significant discount:

  • There is no charge to certified CSIA members and a $250 charge to non-certified CSIA members for the updating of terms and conditions consistent with laws in the United States.
  • There is a $750 fee for CSIA members of all types to update terms and conditions that are consistent with the laws of other jurisdictions.1

Due to anticipated demand, a 14-day turnaround is guaranteed for this work. Additional versions of the terms are at standard rates.

Free 30-Minute Consultation

All participants in the CSIA Legal Plan are entitled to up to two free 30-minute legal consultations per quarter in English at no charge. Time in excess of 30 minutes would be charged to the CSIA member as hourly services.

Discounted and Menu Services

Most hourly legal services provided under the CSIA Legal Plan are now being offered at a 10 percent discount below Faegre Drinker's standard rates for the applicable year.

In addition, a number of services are available under the CSIA Legal Plan on a "menu" or "flat fee" basis. For instance, a basic risk assessment (general assessment of contract terms without revision) would be available for a flat fee of $500 per review (U.S. law only) and $750 for such reviews involving other jurisdictions. For even greater cost certainty, there is also an annual flat fee alternative that entirely eliminates individual transaction charges (see below).

Generally speaking, a lawyer licensed in the United States may not render advice to one client that might be adverse to the interest of another client unless the lawyer concludes that his or her ability to provide quality advice would not be constrained and both clients consent to the arrangement. In a large law firm like Faegre Drinker with hundreds of lawyers (and thousands of clients), all new matters are carefully checked for potential conflicts. If a conflict is discovered, either consent is procured or the advice is not provided.

This also will be the case under the CSIA Legal Plan with one important exception: CSIA members who have purchased a flat fee approach to multiple engagements (e.g., the alternative $20,000 annual fee for unlimited redlined contract reviews for U.S. law only) will receive a three-hour credit toward future hourly services if a conflict of interest prevents assistance. This three-hour credit toward future hourly services is available only once per adverse party that poses a conflict of interest that prevents assistance.

Whether a company is eligible for the flat fee services offered under the CSIA Legal Plan is subject to Faegre Drinker attorneys’ sole discretion. If Faegre Drinker attorneys determine the volume of the company’s needs under the flat fee plan would be so great as to unreasonably interfere with the attorneys’ other work, the company will not be eligible for the flat fee services. All flat fee services will begin on the date payment from the company is received by Faegre Drinker and in no event will the flat fee services be retroactive to include legal services that were previously provided to the company.

CSIA Legal Plan Cost Breakdown

Several (but not all) of the CSIA Legal Plan menu items note that expenses are not included within the fee. This refers to "out of pocket costs" beyond the time spent by our professionals providing advice. These costs can include travel, international long-distance telephone charges, certain copying and printing costs, filing fees, and an allocation of our costs for certain computerized research. The amounts charged generally reflect our actual direct and indirect costs, but some amounts may be more or less.

  • Faegre Drinker will conduct a check for potential conflicts of interest. If none or if the conflicts can be surmounted through appropriate consents, we will proceed with the advice.
  • If this is the first engagement for the CSIA member, Faegre Drinker will send a letter to the member confirming the terms of the engagement.
  • Itemized bills are sent monthly.
