Overview
As the co-leader of the pharmacy and pharmacy benefit manager (PBM) segment within the health and life sciences industry group, Jonathan regularly counsels pharmacies, manufacturers/wholesalers and telehealth providers on numerous aspects of their pharmacy-related business. Much of Jonathan’s work in this regard focuses on:
- State and federal licensing
- Medicare and Medicaid provider enrollment
- Drug compounding
- Controlled substance, drug diversion and DEA enforcement
- 340B drug program compliance
- Telemedicine and telepharmacy
- Pharmaceuticals and dietary supplements
- FDA regulatory issues
In-House Counsel Experience
Prior to entering private practice, Jonathan served as corporate counsel to East Orange General Hospital and was a member of the hospital’s executive team. During his time at the hospital, Jonathan was heavily involved in the hospital’s acquisition by a for-profit entity, prepared physician employment and lease agreements, advised the hospital’s medical executive committee on credentialing and medical staff bylaw matters, and oversaw the day-to-day legal operations of the hospital. Jonathan also served as secretary to the board of trustees of the hospital.
Jonathan leverages his in-house and hospital operational experience to provide practical, business-minded solutions to often nuanced issues for health care and life science companies.
Representative Experience
Pharmacy
- Provides pharmacy licensing counseling to national health care companies in connection with acquisitions of retail, specialty and mail-order pharmacies
- Advises pharmacies, physician groups and outsourcing facilities regarding the compounding of prescription medications and subsequent dispensing and distribution
Health Care
- Represents health care and life science clients in a variety of strategic transactions, including mergers and acquisitions, joint ventures, affiliations and other contractual matters
- Prepares term sheets, operating agreements, joint venture agreements, purchase agreements, management and administrative service arrangement and related ancillary documents in connection with health care transactions
- Advises health care clients and captive physician practices on the corporate practice-of-medicine laws and associated regulations
