Overview
Caryn Glawe advises the insurance industry on state and federal regulatory and transactional matters, counseling insurers, HMOs, and related entities nationwide. She has particular experience in insurance company insolvency and receivership proceedings and helps clients navigate complex regulatory and transactional landscapes with practical, business-focused solutions. Caryn also serves on the firm’s board, which sets the firm’s direction, strategy, and policy.
Insolvency/Receiverships
Caryn works on complex and often contested life, health, annuity, and long-term care receiverships. She counsels clients on high-stakes insurance insolvency and receivership matters, combining regulatory, litigation, and transactional insight to navigate complex, multistate proceedings. Known for strong project management and deep knowledge of the guaranty system, Caryn addresses intricate legal and regulatory challenges while advancing practical, forward-looking solutions.
Regulatory Compliance & Licensing
Caryn has formed and obtained licenses for insurance companies, HMOs, insurance agencies, and a premium finance company. She helps clients understand and comply with state insurance statutes and regulations, including negotiating resolutions for insurance department examinations and investigations. She also advises noninsurance entities on structuring their products and services to avoid triggering insurance licensure requirements, including counseling manufacturers and sellers on protection plans, warranties, service contracts and similar offerings.
Transactions
Caryn works on acquisitions, holding company structure development and transactions, reinsurance agreements, funding agreements and service agreements. She represents investors — including private equity firms — in acquiring insurance entities, guiding them through diligence, transaction documentation, and regulatory approval processes. Caryn frequently works with clients who are new to the insurance space, helping them understand the regulatory landscape and key issues that regulated entities face.
Third-Party Administrator (TPA) Matters
Caryn has significant experience advising insurers and third-party administrators (TPAs) on their relationships and regulatory obligations. She regularly assists insurers in negotiating and managing agreements with TPAs and has a deep understanding of the operational and compliance considerations facing both parties. Her work includes helping clients structure and document TPA arrangements in a way that aligns with applicable regulatory requirements and business objectives.
Regulatory Relations & Industry Monitoring
Caryn works with the Indiana Department of Insurance and insurance departments nationwide. She has served as special counsel to the Indiana Department of Insurance in its review of insurance company acquisitions. She monitors state insurance legislative activity and works with her colleagues at Faegre Drinker Consulting in Washington, D.C., to monitor federal activity on key issues.
Prior Experience
Before joining the firm, Caryn developed a foundation in public service and private practice. During college, she interned with the Indiana General Assembly, the Marion County Prosecutor’s Office, and a county probation officer. She later gained additional experience in law school working on election matters and as a summer associate with Baker & Daniels.
