Felipe Morais Assunção counsels clients on a broad range of corporate transactions, including out-of-court restructurings and distressed transactions, capital markets matters, project and structured finance, and mergers and acquisitions, with an emphasis on cross-border deals, particularly those involving assets and companies based in Latin America and Brazil.

Representative Experience

Restructuring

  • An airline company in an out-of-court debt restructuring that involves an exchange offer in the U.S. and Brazil as well as the conversion of debts into new shares issued for the benefit of its creditors.
  • Companies and financial institutions in the acquisition of Isolated Productive Units (UPIs) from companies undergoing bankruptcy proceedings in Brazil.
  • Bondholders in multiple jurisdictions in court restructuring of a construction company.
  • Represented U.S. indenture trustees in multiple out-of-court restructurings and Chapter 15 proceedings.

    Capital Markets

  • A French retail and wholesaling corporation in its Brazilian subsidiary’s IPO for US$1.3 billion.
  • The underwriters in a Brazilian health care provider’s IPO and two follow-ons, totaling approximately US$2.0 billion.
  • A Brazilian software company in its US$308 million concomitant IPO in the New York Stock Exchange (NYSE) and follow-on in the Brazilian stock exchange (B3).
  • The underwriters in a Brazilian supermarket chain’s IPO for US$780 million.
  • The underwriters in the IPO of a Brazilian state-owned insurer for approximately US$815 million.
  • A German automotive parts manufacturer in its Brazilian subsidiary’s follow-on offering.

Project & Structured Finance

  • A consortium of 12 Brazilian and international banks in a long-term financing deal to support a private water and sewage company in the acquisition of the largest water and sewage concession in Brazil, totaling US$1.56 billion.
  • A financial asset management firm in a financing deal to support the development of three railways in Brazil, totaling BRL 6.8 billion.
  • A construction company and four financial asset management firms in the restructuring of its construction company debt and the arrangement of new financing to support the refurbishment of one of the biggest soccer stadiums in Brazil.
  • A solar energy company in a cross-border long-term financing deal to support 14 solar energy projects in Brazil.

M&A

  • A multinational cosmetic company in its business combination with another multinational cosmetic company.
  • A Chinese-controlled electric utility in Brazil in its acquisition of a state-owned power transmission company for approximately US$500 million.
  • A Brazilian e-commerce company in its merger with a Chilean e-commerce company.

Prior Experience

Prior to joining Faegre Drinker, Felipe had six years’ experience as an associate attorney at one of the nine multipractice Brazilian firms ranked as “elite” by the Latin Lawyer 250.
