2019 Annual ESOP Conference — Indiana Chapter, The ESOP Association

Overview

Phil Gutwein and Stephanie Boxell of Faegre Baker Daniels joined the Indiana Chapter of The ESOP Association for the 2019 Annual ESOP Conference to share insights on developments in this area of law. 

As a session co-presenter, Stephanie provided a legal update on what's new in the ESOP world. She reviewed the cases — including DOL and employee suits against ESOP companies, committees and trustees — and other legal developments that are creating today's ESOP ecosystem. In particular, the presentation covered novel approaches to settling ESOP claims.

Phil Gutwein joined co-presenters to discuss corporate governance in an ESOP company, exploring the responsibilities and authorities of an ESOP company's board of directors, board-appointed committees and trustee. He discussed the interplay between corporate governance and ESOP governance and explained how that interplay should promote the interests of all stakeholders.
