He particularly focuses on structured finance transactions and matters within corporate trust, including residential mortgage-backed securities (RMBS), asset-backed securities (ABS), commercial mortgage-backed securities (CMBS), collateralized loan and collateralized debt obligations (CLO and CDO), loan agency matters and document custody.

He gained deep substantive experience and an enterprise-wide perspective from his 13 years as an in-house senior counsel for a leading corporate trust division within a large national bank. Jim was lead counsel on all structured finance matters, including as lead counsel on all new and complex front-end transactions and programs. He created, negotiated and led the implementation of document standards for all deals across its corporate trust platform. Jim was lead counsel on all default and restructuring matters, which included guiding the bank through much of the financial/housing crisis impacting the structured finance (including RMBS) space for more than a decade. He also advised on many defaulted corporate and municipal debt deals, disputed escrows, and collateral and administrative loan agent matters. Jim was relied upon for his trusted and decisive leadership on many of the most complex matters presenting significant litigation, financial, regulatory or reputational risk to this leading corporate trust business.

Jim provides creative and practical strategies and solutions on a variety of trustee, indenture trustee, owner trustee, trust administrator, master servicer, securities and bond administrator, calculation agent, escrow agent, paying agent, disbursement agent, collateral and administrative agent, account bank, securities intermediary, and document custodian transactions and matters. His clients highly value his combined law firm and in-house counsel background and experience, which help bring the right balance of substantive legal knowledge and understanding with a client-focused perspective to their corporate trust matters.
