Overview

Meg Keating represents U.S. and international lenders and borrowers in connection with secured loans and other financing transactions. She has also represented both foreign and domestic sellers and purchasers of hard assets. In addition, Meg assists clients in the organization and formation of various business entities, redomiciliation matters, and mergers and acquisitions.

Lending & Finance

Meg represents lenders and borrowers in international and domestic facilities, including secured and unsecured, revolving and term, syndicated and bilateral loans. She drafts security and guaranty agreements and other financing documentation, and manages closings.

She also represents lenders in creating and perfecting security in assets via mortgage instruments, Uniform Commercial Code (UCC) financing statements, account control agreements, and other means.

Corporate Transactions

Meg assists clients with general corporate matters, including the formation and redomiciliation of foreign and domestic entities, corporate authorizations, and the review of organizational and management documents.

Maritime Transactions

Meg has represented both purchasers and sellers in the acquisition and sale of vessels, and has coordinated with U.S. and international maritime registries for vessel documentation and mortgage registration. She has successfully completed scores of vessel transactions ranging from $2 million to $50 million in value.

  • A commercial management company operating tank ships around the world, in its sale to a tanker company then able to offer pool partners and cargo customers a wider range of services.
  • A Norwegian bank in connection with a senior secured term loan facility guaranteed by a U.S. petroleum service company to partially finance its purchase of platform supply vessels from a Norwegian shipping company.
  • A major U.S.-flag fleet owner-operator in the upsize and amendment of its credit facility to add new roll-on/roll-off carriers, obtain a new Maritime Security Program operating agreement, and add new and continue existing security on behalf of the borrower for the benefit of the lender.
  • A public shipping company in an initial credit facility of first-lien notes and a second-lien credit agreement for upsized facilities secured by vessels and related security.
  • A bank in its credit facility to a private shipping corporation borrower, in connection with a joint venture between the borrower and a public shipping corporation to integrate energy transportation solutions.
  • A private equity firm in various investments relating to their owning and managing a fleet of tankers.
  • A U.S. investment and wealth manager in a business combination with a UK investment adviser and special purpose acquisition company.
  • A public shipping company in connection with an upsize and extension of its credit facility.
  • A U.S. commercial tanker management company in its sale to a Danish shipping company, and related amendments to financing and corporate governance documentation.
