Business litigation partner Oderah Nwaeze co-authored the American Bar Association’s “Recent Developments in Business Divorce Litigation 2026.”
Nwaeze provided an overview of case law across the country related to business divorce, including cases addressing fiduciary duties, breach of contract, and dissolution. In In re Coral Gables Luxury Holdings, for example, Nwaeze discussed how the Delaware Chancery Court granted summary judgment and appointed a liquidating trustee for the company at issue, thereby resolving a deadlock between its two 50/50 members.
“The Court ordered the appointment of a liquidating trustee to oversee the wind-up process and dismissed [Gables Investment Holdings] other objections, emphasizing that the LLC Agreement’s dissolution provisions governed and that ongoing litigation elsewhere did not negate the need for proper dissolution procedures in Delaware,” Nwaeze explained.
