In a departure from the standard-fare “Top 10” listicles that frequently attend the end of the year, Philadelphia partner Doug Raymond authored an article for Directors & Boards’ Annual Report 2014, titled “Practical Dos and Don’ts for Directors.” The article offers directors across industries with a sound framework for fostering a collaborative board culture, overseeing and iterating their company’s core strategy, and avoiding conflicts of interest or communications misfires.

“Of course,” as Doug adds, “good directors must also have a working knowledge of the relevant legal rules, including applicable laws and company policies; standards for fiduciary duties, including those of care and loyalty; and insider trading rules.” Combined with this requisite understanding, Doug’s straightforward tips can help give directors an edge – both in the boardroom and beyond.
