Madeline advises clients, through a variety of health care transactions and commercial arrangements, to structure agreements that support their business objectives and avoid risk. She has drafted and refined core agreements for a medical device company’s market launch, ensuring compliance with industry standards and client imperatives. Madeline also conducts regulatory due diligence for transactions involving health care providers, including assisted living and skilled nursing facilities.

Her transactional experience includes drafting and negotiating commercial and technology agreements for health care providers, digital health companies, and medical device organizations. These include software-as-a-service (SaaS) agreements, management services agreements (MSAs), and business associate agreements (BAAs). She also helped a medical device company prepare for a product launch by drafting and negotiating key commercial agreements designed to support business growth while meeting regulatory and industry requirements.

Health Care Compliance

As state and federal requirements continue changing, Madeline works with clients to address complex regulatory challenges while pursuing strategic business goals. She provides practical guidance on compliance, licensing, and operational issues, helping organizations manage risk and remain focused on their health care missions.

Her experience includes advising hospitals, health systems, and other health organizations on telehealth policy developments, certificate of need matters, and clinical privilege issues under state law. She also counsels clients on regulatory considerations affecting new products, services, and business initiatives, including compliance with HIPAA and fraud, waste, and abuse laws.

Madeline has supported a multiparty pharmacy transfer transaction by preparing state licensure applications, coordinating with regulatory agencies, and managing Medicaid enrollment processes. She has also conducted in-depth research and statutory analysis of health care transaction notice and approval requirements for management service organizations.
