ESOP Transactions

Kate advises ESOP-owned companies and privately held companies exploring employee ownership as part of a succession, liquidity, or strategic growth plan. Her ESOP transaction experience sits at the intersection of corporate/M&A, finance, governance, tax-sensitive structuring, and benefits-related deal execution. She works with colleagues across disciplines to help clients transact efficiently and strategically. Her work includes helping owners and management teams evaluate transaction structure, coordinate diligence, negotiate transaction documents, address governance and fiduciary considerations, and drive transactions from early planning through closing.

Kate’s broader corporate practice and experience provide ESOP clients a practical advantage: she understands that employee ownership transactions are not only benefits or tax matters, but enterprise-level business transactions that affect ownership, governance, financing, operations, and long-term strategy. She brings that perspective to companies considering a first-time ESOP, mature ESOP companies evaluating acquisitions or sales, and stakeholders navigating ownership transitions in closely held and founder-led businesses.

Energy Transactions 

Kate brings practical corporate and transactional judgment to energy and commodities matters, with experience supporting alternative and renewable energy, as well as clean tech, clients, and the lenders that finance their projects. Her work includes transactions involving biofuels, waste-to-energy facilities, critical mineral, wind energy, and solar energy. Drawing on her broader M&A and commercial contracting background, Kate helps clients manage complex diligence processes, identify legal and business risks, and negotiate project-specific agreements that support efficient execution and long-term commercial objectives.

Kate regularly coordinates and supervises diligence workstreams, prepares risk assessments and transaction memoranda, and works with clients and deal teams to resolve issues that arise across the project life cycle. Her approach is practical and business-focused — she helps clients understand key risks, prioritize solutions, and keep transactions moving.

Outside the office, Kate enjoys staying active, spending time outdoors, exploring new restaurants, and attending sporting events with her husband, Jay, and their two sons.
