Overview

Anna Behrmann counsels businesses across multiple industries on the complexities of antitrust, competition, and consumer protection, with a strong focus on corporate compliance and transactional matters. She is known for her strategic guidance on channel management and distribution, helping clients design and implement compliant distribution systems, reseller programs, and go-to-market strategies that align with US and international antitrust requirements.

Mergers & Acquisitions

She frequently advises on the antitrust aspects of mergers and acquisitions, supporting clients through all stages of M&A transactions — from due diligence and preliminary risk assessment to Hart-Scott-Rodino (HSR) regulatory filings and post-closing integration. Anna works closely with deal teams to anticipate and resolve competition issues, ensuring transactions proceed smoothly and efficiently without incurring unnecessary antitrust risk.

Compliance

Her practice also includes developing and enhancing corporate antitrust compliance programs, training personnel, and conducting internal company audits. Described by clients and colleagues as the “quintessential” antitrust adviser, Anna regularly helps clients address vertical restraints, exclusive dealing, tying, minimum advertised price (MAP) and resale price maintenance (RPM) policies, price discrimination under the Robinson-Patman Act, and other distribution-related challenges, providing creative and practical solutions that support business objectives while balancing regulatory risk.

Disputes & Investigations

While her primary focus is on proactive counseling, Anna brings her deep understanding of the antitrust laws to help shape legal strategy and arguments in high-stakes litigations and government investigations when disputes or enforcement actions arise. She represents clients in merger reviews, civil and criminal investigations, and private plaintiff class action litigations, always aiming for practical, business-oriented outcomes.

Service & Thought Leadership

Anna is actively involved in the ABA Antitrust Section, serving as a vice chair of the Distribution and Franchising Committee, where she contributes to thought leadership and best practices in distribution law.

Pro Bono

In addition to her antitrust work, Anna leads Faegre Drinker’s medical-legal partnership with Eskenazi Health, assisting pro bono clients to obtain guardianships to support their family members with lifelong disabilities.
