Prospective Acquirers to be Hit by NSI Act

Corporate associate Jonathon Gunn authored an article for Acquisitions Daily, titled “Prospective acquirers to be hit by NSI Act,” that offers insight on the U.K.’s National Security and Investment Act 2022 (NSI Act), which is set to go into force on January 4, 2022.

Gunn explains that the NSI Act dramatically increases the ability of the U.K. government to review, and, if necessary, to intervene in a broad range of transactions, from public takeovers to small venture capital investments. The article outlines who the new screening framework will apply to and the key events that trigger the application of the NSI Act.

Gunn highlights that parties should assess the application of the NSI Act to their transactions as early as possible when there is any connection with the U.K. and, in particular, should review whether notification is mandatory.
