Heather Manning is an experienced transactional lawyer. She advises clients on executive compensation matters, public company reporting requirements, corporate governance issues and commercial contract negotiations.

Heather designs and implements executive compensation arrangements, including equity incentive plans, annual bonus plans, employment and severance agreements as well as other compensation agreements. She has experience advising publicly held clients on securities law compliance and disclosure requirements as well as counseling clients on new developments and changing best practices in corporate governance matters, including ISS, Glass Lewis and institutional investor policies.

Heather also represents privately held clients on a wide variety of commercial contract matters.

Past Experience

Before joining Faegre Baker Daniels, Heather practiced at Kirkland & Ellis LLP in Chicago where she advised public companies on securities law compliance and reporting obligations and represented public companies, private equity funds and private equity fund portfolio companies in corporate financing transactions involving the sale of securities as well as mergers, acquisitions and divestitures. She began her legal career at Cahill Gordon & Reindel LLP in New York.
