Tibor Klopfer plans and drives strategic and financial transactions involving insurance companies. He advises stock, mutual and nonprofit insurance companies and insurance holding company systems, as well as insurance regulators, in connection with a variety of corporate transactions and related matters.
He has deep experience with a broad range of transactional matters, including:
  • Mergers and acquisitions involving insurers and HMOs
  • Financings and capital raising transactions, including surplus note transactions and debt secured by stock of insurers 
  • Demutualizations and mutual insurance holding company transactions
  • Nonprofit to for-profit conversion transactions
  • Affiliation transactions, including those involving mutual and nonprofit companies
  • Strategic alliances and joint ventures involving insurance business
  • Corporate governance compliance and fiduciary duties
  • Restructurings and reorganizations, and other inter-company transactions
  • Investment activities of insurers
  • Form A, Form D and other insurance holding company system issues
  • Securities law compliance
  • Non-controlling and minority investments in insurance holding companies
  • Formal Third-party legal opinions covering transactional and insurance matters

Tibor provides strategic counseling, project planning and management, negotiation and drafting of transactional documents, preparation of regulatory filings and securities disclosure documents, and regulatory approvals, including conduct of public hearings as required by insurance laws. He has substantial experience with large and complex transactions requiring coordination of regulatory approvals in multiple states and federal securities law compliance.
